1. Use of Services

  • Upload, store, or transmit Protected Health Information (PHI) or any patient-identifiable data. Our Services are not designed or intended to process PHI.
  • Violate any applicable laws, regulations, or contractual obligations.
  • Attempt to interfere with, disrupt, or gain unauthorized access to the Services or related systems.
  • Reverse engineer, decompile, or copy the Services or underlying software.

Important: Users are solely responsible for ensuring that any data uploaded is fully de-identified and limited to experimental or instrument performance data.

3. Intellectual Property

All content, software, and materials provided through the Services are the property of Legion Diagnostics or its licensors and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.

4. Data Ownership

You retain ownership of any laboratory or experimental data you upload to the Services. By uploading data, you grant Legion Diagnostics a limited license to use, process, and store that data solely for the purpose of providing and improving the Services.

We do not claim ownership of your laboratory data. We do not sell or share it with third parties, except as required to provide the Services or as required by law.

5. Service Availability

We strive to maintain reliable and secure Services, but we do not guarantee uninterrupted or error-free access. We may suspend or limit access to the Services for maintenance, updates, or security reasons without prior notice.

6. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

7. Limitation of Liability

To the maximum extent permitted by law, Legion Diagnostics shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or goodwill, arising from or related to your use of the Services.

8. Indemnification

You agree to indemnify and hold harmless Legion Diagnostics, its officers, employees, and affiliates, from and against any claims, damages, liabilities, costs, or expenses (including attorneys' fees) arising out of your use of the Services, your violation of these Terms, or your violation of any laws or rights of third parties.

9. Governing Law

These Terms are governed by the laws of the State of Tennessee, without regard to its conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Nashville, Tennessee.

10. Changes to Terms

We may update these Terms from time to time. The updated version will be posted on our website with a new effective date. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
